The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part, You may not access the Service. You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Please read Our Privacy Policy carefully before using Our Service.
Our Service may contain links to third‑party web sites or services that are not owned or controlled by the Company. The Company assumes no responsibility for the content, privacy policies, or practices of any third party. We strongly advise You to read the terms and conditions and privacy policies of any third‑party sites you visit.
We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including if You breach these Terms. Upon termination, Your right to use the Service will cease immediately.
Notwithstanding any damages that You might incur, the entire liability of the Company and its suppliers under any provision of these Terms and Your exclusive remedy shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever.
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so some of the above limitations may not apply.
The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory or otherwise.
Without limitation, neither the Company nor any provider makes any representation or warranty that the Service will be uninterrupted or error‑free, or that any errors will be corrected.
The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service.
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
For European Union Users
If You are an EU consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.
United States Legal Compliance
You represent and warrant that You are not located in a country under US embargo and not listed on any prohibited parties list.
If any provision of these Terms is held unenforceable or invalid, such provision will be changed to accomplish its objectives to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Except as provided herein, the failure to exercise a right under these Terms shall not waive that right or any subsequent breach.
These Terms and Conditions may have been translated if We have made them available to You. The original English text shall prevail in case of dispute.
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days’ notice. By continuing to access or use Our Service after revisions become effective, You agree to be bound by the new terms.

This End User License Agreement (“EULA”) is a legal agreement between you (“User,” “You,” or “Licensee”) and YWL Data LLC (“YWL Data,” “We,” or “Licensor”) governing your use of the web-based software known as “YWL for Contractors” (the “Software” or the “Service”). By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree with any of these terms, you must not access or use the Software.
“YWL for Contractors” is a subscription-based online platform designed to help contractors manage their day-to-day operations. The Software includes features such as:
License Type: Subject to your ongoing compliance with this EULA and payment of the monthly subscription fees, YWL Data grants you a non-exclusive, non-transferable, limited, and revocable right to access and use the Software solely for your internal business purposes as described herein.
Web-Based Access: The Software is offered exclusively as a hosted, web-based solution. No installation on local devices is provided or permitted unless expressly authorized by YWL Data in writing.
Subscription Requirement: Access to the Software is provided on a monthly subscription basis. If at any time you fail to make the required payment, your access to the Software will be suspended or terminated until your subscription is brought current.
Account Limitations: When purchasing a subscription, you determine how many user accounts (e.g., for employees) you wish to create under your main company account. You may not exceed the number of user accounts that you have paid for.
Trial Period (Optional): From time to time, YWL Data may offer trial periods at its sole discretion. The terms of any trial period, including duration and scope of access, will be determined by YWL Data and communicated to you. If you do not cancel before the end of the trial period (where applicable), your subscription will convert to a paid plan and you will be billed accordingly.
Account Holder: The individual or entity creating the main company account is considered the primary account holder and is responsible for all activity under that account.
Employee Access: The primary account holder may create additional user accounts up to the number permitted by the subscription. Each user must have unique login credentials, and login credentials may not be shared.
Security: You are responsible for maintaining the confidentiality of login credentials. If you suspect any unauthorized use or breach of security, you must promptly notify YWL Data.
Retention of Rights: YWL Data LLC retains all rights, title, and interest in and to the Software, including any and all intellectual property rights. No rights or licenses are granted to you by implication or otherwise, except for those expressly granted in this EULA.
Third-Party Components: The Software utilizes certain third-party components, such as:
Your use of these components may be subject to additional terms from the respective third-party providers.
Regular Updates: YWL Data may provide updates or upgrades to the Software, which will be automatically rolled out since the Software is web-based.
Notification: YWL Data will endeavor to notify you in advance of any significant updates, but reserves the right to implement minor updates or bug fixes without notice.
Term: This EULA is effective as of the date you first access the Software and will remain in effect until terminated in accordance with this section.
Termination by YWL Data: YWL Data reserves the right to terminate or suspend your access immediately and without notice if:
Consequences of Termination: Upon termination, your access to the Software will be revoked. YWL Data also reserves the right to pursue legal action to the fullest extent allowed by law if you have violated this EULA in a manner causing harm or potential harm to YWL Data.
“As Is” Basis: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
No Guarantee of Availability: YWL Data does not warrant that the Software will be uninterrupted, error-free, or that any defects will be corrected. You acknowledge that there may be downtime or interruptions, and YWL Data is not liable for any losses arising from such downtime.
Exclusion of Damages: UNDER NO CIRCUMSTANCES SHALL YWL DATA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF PROFITS) ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF THE SOFTWARE.
Data Loss: If any data loss occurs (e.g., due to database issues, technical failures, or other reasons), YWL Data will make commercially reasonable efforts to restore or recover the data, but cannot guarantee that all data will be recoverable. YWL Data shall not be liable for any damages resulting from such data loss.
Maximum Liability: THE TOTAL LIABILITY OF YWL DATA FOR ANY CLAIM UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Google Places API: The competitor search feature relies on the Google Places API. This feature is subject to change, limitation, or removal at any time based on usage limits, licensing terms, or at YWL Data’s sole discretion.
Stripe Payments: The Software integrates with Stripe for payment processing. Your use of Stripe services may require compliance with Stripe’s terms of service.
Modifications to Services: YWL Data reserves the right to modify, limit, or remove any features or functionality of the Software, at any time and without prior notice.
This EULA shall be governed by and construed in accordance with the laws of the United States. Where state-specific law must apply, it shall be the laws of the State of Ohio, without regard to its conflict of laws principles.
Any legal action or proceeding arising under this EULA shall be brought exclusively in the state or federal courts located in Franklin County, Columbus, Ohio, and the parties hereby consent to the personal jurisdiction and venue therein.

Changes to the EULA: YWL Data may update or modify this EULA from time to time. If changes are made, they will be posted on our website or communicated via email. Your continued use of the Software after any posted or communicated update constitutes your acceptance of the revised EULA.
Entire Agreement: This EULA constitutes the entire agreement between you and YWL Data regarding the Software and supersedes any prior or contemporaneous agreements, communications, or understandings, whether written or oral.
Severability: If any provision of this EULA is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
No Waiver: The failure of YWL Data to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
